Terms of Service

Effective date: May 1, 2026 · TrueNorth Talent Base LLC, d/b/a TrueNorth Node Base (“TrueNorth”). Website terms supplement—not replace—executed statements of work.

Nature of Services

TrueNorth introduces businesses to independent contractors and freelancers skilled in Node.js, NodeJS, Node js ecosystems, and adjacent backend tooling. We facilitate staffing workflows; we do not guarantee employment outcomes, perpetual availability of specific Node engineers, or fitness for every regulatory regime without bespoke diligence.

Independent Contractor Relationships

Unless a signed agreement expressly states otherwise, talent engaged through TrueNorth operates as an independent contractor or similarly classified engagement party. Clients remain responsible for verifying classification, tax withholding, and statutory obligations in each jurisdiction where Node contributors perform work—including North America, the United Kingdom, and Australia.

No OpenJS / Node.js Affiliation

TrueNorth is an independent talent network. We are not affiliated with, endorsed by, or sponsored by the OpenJS Foundation, the Node.js open-source project maintainers, or trademark owners referencing Node.js.

Intellectual Property & Work Product

Custom programming and documentation produced by Node freelancers for clients are typically governed by project-specific statements of work assigning rights upon payment conditions. TrueNorth may facilitate template language, yet parties must execute definitive IP clauses covering Node modules, repositories, and derivative artifacts. Pre-existing open-source Node libraries remain subject to their respective licenses.

Confidentiality

Parties must protect non-public business and technical information exchanged during Node engagements. TrueNorth uses confidential information solely to staff and administer introductions.

Fees & Trial Periods

Pricing, invoicing cadence, and any risk-free trial mechanics appear in order forms or master services agreements. Marketing references to trials summarize commercial intent only.

Warranties Disclaimer

Except where prohibited, services and website materials are provided “as is.” TrueNorth disclaims implied warranties of merchantability, fitness for a particular Node workload, and non-infringement beyond expressly signed contractual commitments.

Limitation of Liability

To the maximum extent permitted under Texas law, neither party is liable for indirect, incidental, special, consequential, or punitive damages arising from Node staffing introductions. TrueNorth’s aggregate liability under website terms is limited to the fees paid to TrueNorth for the engagement giving rise to the claim during the six months preceding the event, or two thousand U.S. dollars if no fees apply—whichever is greater.

Indemnity

Clients indemnify TrueNorth against third-party claims stemming from client-provided specifications, misuse of Node deliverables, or failure to maintain compliant contractor relationships—except where TrueNorth materially breaches its written obligations.

Governing Law & Venue

These terms are governed by the laws of Texas, United States, excluding conflict-of-law principles. Exclusive jurisdiction rests with courts in Travis County, Texas, subject to mandatory consumer protections elsewhere.

Changes

We may update these terms to reflect evolving Node staffing practices or regulations. Continued use after posting constitutes acceptance unless applicable law requires renewed consent.
